What does the deed of incorporation contain?

A BV is incorporated by the execution of the deed of incorporation by the civil notary. The deed of incorporation must be executed in the Dutch language and contains the following:

  • Details on the issued shares, the payment on the shares (in cash or in kind) and details on the incorporators/shareholders
  • Appointment of the first (registered) managing directors and (if any) the first supervisory directors
  • The articles of association of the company; and
  • The determination of the first financial period of the company
